Terms of Service

These Terms of Service ("Terms") govern access to and use of Bizzy Marketplace ("Bizzy", "we", "us", or "our"). By accessing or using Bizzy, you agree to these Terms. If you are using Bizzy on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Eligibility and Availability

You must be at least 18 years old and able to form a binding contract to use Bizzy. Bizzy is intended for users in the United States and for U.S. business transactions. We do not intentionally offer Bizzy to users in the European Union, European Economic Area, or United Kingdom.

We may refuse, suspend, restrict, or terminate access where required to operate, secure, or protect the service.

Accounts and Security

You are responsible for the accuracy of account information you provide.
You are responsible for activity under your account and for keeping your devices, passkeys, credentials, and sessions secure.
You may not share accounts, impersonate another person, create misleading account information, or use Bizzy for someone else without permission.
You must promptly notify us through available product channels if you believe your account has been compromised.

Marketplace Role

Bizzy provides software, marketplace, communication, NDA, external-diligence-link, and workflow tools. Unless we expressly agree otherwise in writing, Bizzy is not a party to any purchase, sale, financing, employment, brokerage, advisory, or other transaction between users.

Bizzy is not a broker, investment adviser, lender, appraiser, accounting firm, law firm, tax adviser, escrow provider, or equal-opportunity compliance adviser. Content on Bizzy is for informational and workflow purposes only and is not legal, tax, investment, lending, valuation, due diligence, brokerage, appraisal, or business advice.

Bizzy workflow tools may help sellers or brokers keep objective records of buyer inquiries, NDA/diligence-access requests, and private workflow notes. Those tools do not replace legal, brokerage, appraisal, compliance, or professional advice.

User Content and Listings

Users are responsible for the content they submit, including listings, photos, financial information, messages, message-report details, seller-configured external links, buyer criteria, profile information, private workflow notes, external-contact details they enter, and NDA-related information.

You represent that you have the rights and permissions needed to submit your content and to allow Bizzy to host, process, display, transmit, and use submitted content to operate the service.

Listing information and seller-provided materials may be incomplete, inaccurate, outdated, or unverified. Users are responsible for independent diligence before relying on information or entering a transaction.

License to Operate the Service

You retain ownership of content you submit. You grant Bizzy a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, transmit, adapt, and use content submitted to Bizzy as needed to provide, protect, improve, and promote the service, subject to applicable privacy and confidentiality settings.

Confidentiality, NDAs, and External Diligence

Some listings may require a non-disclosure agreement before confidential structured details or external diligence links are available. Messaging a seller is separate from signing an NDA and does not grant diligence access.
NDAs may create binding obligations between users. You are responsible for reading and understanding any NDA before signing.
Bizzy may provide standard NDA tooling or templates for convenience, but Bizzy does not provide legal advice and does not guarantee any template is appropriate for a specific transaction.
Bizzy does not accept, host, download, scan, parse, preview, or verify seller diligence files. Sellers may configure links to supported third-party providers and remain responsible for the content, provider permissions, and provider-side revocation.
Buyers choose whether to visit third-party links and are responsible for respecting NDA obligations, confidentiality restrictions, and safe handling of externally hosted content. Third-party content may be malicious, inaccurate, unavailable, or governed by separate terms.
Bizzy may record NDA and diligence-access approvals, denials, cancellations, pending states, and related workflow audit information. These records do not replace legal, brokerage, appraisal, compliance, or professional advice.

Premium, Beta Features, and Pricing

Some Bizzy features may require Premium, beta access, or other entitlements. Premium is currently described in the product as free during beta unless the product states otherwise.

Bizzy will provide notice and require billing consent before charging paid subscription fees. We may add, remove, limit, or change beta features as the product develops.

Messaging Safety and Moderation

Messages are listing-scoped communications shared with the other participant. Archiving changes only your inbox visibility; it does not delete shared history or prevent the other participant from communicating.
Either participant may block the other account. A block stops messaging in both directions, including matched-buyer messages, but does not erase history or automatically submit a report.
A participant may report a received message. Reports may include a selected shared message, nearby conversation context, finite reasons, optional details, and an immediate-danger selection. Bizzy is not an emergency service; contact local emergency services if someone is in immediate danger.
Authorized human administrators may review bounded report evidence, issue warnings or messaging restrictions, escalate an account for review, take no action, reverse a decision, or revoke a restriction. Reporting does not guarantee a response time or particular outcome and does not automatically suspend an account.
Moderation queue records, notifications, realtime events, and audit metadata are designed to use content-free references and finite codes where message/report text is not required. Bizzy has no AI/model/provider integration making message-moderation decisions in this release.
Messages, reports, moderation events, blocks, and already-shared history may be retained where needed to operate and secure the service, enforce these Terms, resolve disputes, or meet legal obligations, including after account deletion where appropriate.

Prohibited Conduct

Use Bizzy for unlawful, fraudulent, misleading, abusive, harassing, or discriminatory activity.
Submit false, deceptive, infringing, confidential, or unauthorized content.
Bypass access controls, authorization checks, NDA gates, rate limits, security controls, or feature entitlements.
Scrape, crawl, harvest, copy, or bulk export data except through functionality we intentionally provide.
Interfere with the service, probe security, submit malicious code or links, or attempt to disrupt infrastructure.
Use Bizzy to send spam, unsolicited bulk messages, or deceptive outreach.
Reverse engineer, copy, resell, sublicense, or commercially exploit the service except as permitted by these Terms.

Third-Party Services

Bizzy may rely on third-party providers for hosting, authentication, storage, analytics, maps, geocoding, monitoring, email or notification delivery, and other functions. Third-party services may have their own terms and policies.

No Guarantees

Bizzy is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, secure, error-free, accurate, complete, or suitable for any transaction.

We do not guarantee any listing, buyer, seller, reviewer or moderation decision, buyer match, message or realtime notification timing, external diligence resource, NDA, diligence-access decision, financing result, deal outcome, or business performance.

Limitation of Liability

To the fullest extent permitted by law, Bizzy and its affiliates, owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption arising from or related to the service.

To the fullest extent permitted by law, Bizzy's total liability for claims arising from or related to the service will not exceed the greater of the amount you paid Bizzy for the service in the 12 months before the claim or 100 U.S. dollars.

Indemnity

You agree to indemnify and hold Bizzy harmless from claims, damages, liabilities, losses, and expenses arising from your content, your use of the service, your violation of these Terms, your violation of law, or your dispute or transaction with another user.

Termination

You may stop using Bizzy at any time. We may suspend or terminate access if we believe you violated these Terms, created risk, caused potential harm, or used the service in a way that could expose Bizzy or others to liability.

Terms that by their nature should survive termination will survive, including ownership, licenses needed for retained shared-message, safety, audit, and other records, confidentiality, NDA-related obligations, disclaimers, limits of liability, indemnity, and dispute provisions.

Changes

We may update these Terms as Bizzy changes. The effective date shows when the Terms were most recently revised. Continued use of Bizzy after updated Terms become effective means you accept the updated Terms.
